Agreement to Terms

These Terms form a binding agreement between you (the client, "you", "your") and Goazo Digital. They apply to all services offered by Goazo Digital including SEO, PPC, social media advertising (Instagram, Facebook, YouTube), website design and development, creative services, consulting, audits and any ancillary services we provide.

If you sign a separate written contract or proposal that references these Terms, the signed contract will govern to the extent it explicitly conflicts with these Terms. Otherwise, these Terms apply in full.

Description of Services

We provide digital marketing and web services tailored for businesses in Goa and beyond. Typical services include:

Search engine optimisation (SEO) and local SEO for neighbourhood targeting.
Pay-per-click (PPC) campaigns and Google Ads management.
Social advertising on platforms such as Instagram, Facebook and YouTube.
Website design, UI/UX, landing pages and direct booking integrations.
Content strategy, creative production and reputation management.

Service deliverables, timelines and scope will be set out in proposals, statements of work or other written communications. All deliverables are subject to the terms of your specific agreement with us.

Client Responsibilities

You agree to provide accurate information, necessary access and timely feedback required for Goazo Digital to perform the services. This may include access to websites, analytics accounts, ad platforms, creative assets and other relevant materials.

Delays in providing access, approvals or content may impact timelines and will not entitle you to refunds. You are responsible for ensuring you have the rights to use any content (images, logos, text) you provide to us.

Payment Terms & Fees

All fees, payment schedules and milestones will be set out in proposals, invoices or contracts. Unless otherwise agreed in writing, payments are due as specified on our invoice. Late payments may result in suspension of services until payment is received.

Important (Non-Refundable Policy): All payments made to Goazo Digital are final and non-refundable as stated in our Refund Policy. By making a payment you acknowledge and accept that payments are non-refundable unless an explicit, written exception is agreed by an authorised Goazo Digital representative.

Third-party costs (for example, ad spends billed by platforms or third-party vendor fees) are separate from Goazo Digital service fees and are generally non-refundable. You agree to reimburse any third-party costs incurred on your behalf in accordance with the payment terms in your agreement.

Intellectual Property

Unless otherwise agreed in writing, Goazo Digital retains ownership of any pre-existing intellectual property, templates, methodologies and code we use to deliver services. Upon full payment of invoices for a specific deliverable, we grant you a limited, non-exclusive licence to use the final deliverables for the purposes set out in the agreement.

You warrant that any assets or content you provide do not infringe the rights of any third party. You agree to indemnify Goazo Digital against claims arising from content you supply that infringes third party rights.

Confidentiality

We will treat your confidential information with care and will not disclose it except as required to perform the services or as required by law. We may share necessary information with subcontractors bound by confidentiality obligations to deliver specific parts of the service.

Limitation of Liability

To the maximum extent permitted by law, Goazo Digital's total liability arising out of or related to these Terms or the services provided will not exceed the total fees paid by you to Goazo Digital for the specific service giving rise to the claim in the 12 months prior to the claim.

We are not liable for indirect, special, incidental or consequential losses including lost revenue, lost profits, loss of reputation, or loss of data. Nothing in these Terms excludes liability for death or personal injury caused by our negligence or for other liabilities that cannot be limited or excluded under applicable law.

Termination & Suspension

Either party may terminate the service agreement in accordance with the termination provisions set out in the relevant contract. In the absence of a separate contract, either party may terminate on 30 days' written notice; however, termination does not affect any accrued payment obligations.

Goazo Digital may suspend services immediately if you fail to pay amounts due or if you violate these Terms. Suspension may continue until the matter is resolved and outstanding payments are received.

Third-Party Services & Advertisers

We may use third-party providers to deliver services (ad platforms, hosting, analytics). These providers have separate terms and privacy policies which you should review. When we manage ad campaigns, platforms such as Google Ads, Facebook/Meta and YouTube will operate under their own billing and refund rules.

Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any dispute arising from or related to these Terms will be subject to the exclusive jurisdiction of the courts in Goa, India, unless otherwise agreed in writing.

Changes to Terms

We may change these Terms from time to time. We will publish the updated Terms on this page with a revised effective date. Your continued engagement with our services after changes are posted constitutes acceptance of the revised Terms.

Acceptance

By requesting services, signing a proposal, or making a payment, you confirm that you have read, understood and agree to comply with these Terms of Service, our Refund Policy and other website policies. If you do not agree to these Terms, please do not engage our services.
